Terms of Agreement

The Independent Contractor Agreement

As a new Independent Distributor, I understand and agree that:

1. I hereby declare that I am at least 18 years of age, applying as an Independent Distributor of Worldwide Link Ltd and K-Link USA. I have read and understand all the items on the application form and the responses therein, are true, factual and complete.

2. I understand that I will be an Independent Contractor, solely responsible for my own business and will not be an employee of Worldwide Link Ltd and K-Link USA. As such, I will not be regarded as an employee for the purposes of the Federal Unemployment Tax Act, Federal Insurance Contributions Act or income tax withholding. It is my responsibility to pay any self - employment, sales, local, state and federal taxes, as required by law.

3. Upon approval of this application, I will have the right to sell the products of Worldwide Link Ltd and K-Link USA and will abide by Worldwide Link Ltd and K-Link USA Code of Ethics, Policies, Procedures and Rules of Conduct which may from time to time be amended and abide by any other circular that may be printed periodically. For these sales I will be compensated in accordance with the Worldwide Link Ltd and K-Link USA Compensation plan.

4. I understand my position as an Independent Distributor of Worldwide Link Ltd and K-Link USA does not make me an employee, agent or legal representative of Worldwide Link Ltd and K-Link USA and I do not have the authority to speak for, contract or bind Worldwide Link Ltd and K-Link USA or my sponsor(s).

5. I agree to conduct myself in a legal, professional and ethical manner at all times. I will not make any claims, representations or statements about Worldwide Link Ltd and K-Link USA or its products other than those stated in Worldwide Link Ltd and K-Link USA official literature, nor will I misrepresent the actual or potential income of the Compensation Plan.

6. I understand that signing this agreement, acceptance of the agreement by Worldwide Link Ltd and K-Link USA and paying the annual distributor’s fees, is all that is needed to become a distributor. If within three (3) working days of receipt of my product, I decide not to continue as a distributor, I shall submit my resignation to Worldwide Link Ltd and K-Link USA. If my product is returned within thirty (30) working days of receipt in good saleable condition, I will receive a full refund of the product(s) returned.

7. I may terminate my distributorship at any time by giving written notification to the Company at the address stated on the front of this form. A resigning or terminated distributor is entitled to the Buy-Back Policy stated in the Policies and Procedures.

8. I understand that the Company may terminate my distributorship in accordance with Worldwide Link Ltd and K-Link USA Code of Ethics, Policies, Procedures and Rules of Conduct, which are incorporated by reference into this agreement, if I violate the terms thereof. Such termination will cancel my rights to receive compensation of any form from Worldwide Link Ltd and K-Link USA.

9. I understand that I am responsible for the training and support of any distributor I sponsor into Worldwide Link Ltd and K-Link USA.

10. I understand that this agreement may not be transferred or assigned without prior written consent of the Company
